Terms Of Use
This Agreement (the "Agreement") sets forth the terms and conditions that apply to your use of 2BalanceU.com. BY USING THE 2BALANCEU SERVICES AND THIS SITE (THE "SITE", AND TOGETHER WITH THE OTHER 2BALANCEU SERVICES, THE "SERVICES"), YOU AGREE TO BE BOUND BY THE TERMS OF THIS USER AGREEMENT. 2BalanceU reserves the right to modify this Agreement at any time without prior notice, effective immediately upon posting on the Site. 2BalanceU is the final arbiter of this Agreement, and its determination shall be final, binding and conclusive.
1. It is a condition of your use of the Services that you do not: (i) restrict or inhibit any other user from using and enjoying the Services or intentionally or unintentionally use the Services for any unlawful purpose or otherwise violate any applicable local, state, national or international law; (ii) post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent (including any nudity) data, text, pictures, video or other content, including without limitation, information, statements, message-board postings, email, member pages, forums, responses to contests, polls or questionnaires, or otherwise (together, "Content"), including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law, rule or regulation; (iii) post or transmit comments containing harassing or offensive language, including sexual references, sexual nicknames, racial slurs or rude or deliberately offensive comments; (iv) post or transmit any information, software or other material which violates or infringes the rights of others, including material which is an invasion of privacy or publicity rights or which is protected by copyright, trademark or other proprietary right (including but not limited to copyrighted software, mp3 files of copyrighted music, copyrighted photographs, text, video or artwork, or derivative works with respect thereto), without first obtaining permission from the owner or right holder; (v) post or transmit any information, software or other material which contains a virus or other harmful component, including but not limited to bots, worms or trojan horses; (vi) post, transmit or in any way exploit any Content, information, software or other material for commercial purposes or which contains advertising, or that violates the standards of good taste or the standards of this Web site, as determined by 2BalanceU in its sole discretion; (viii) solicit other users to join, become members of, or contribute money to any online service or other organization, advocate or attempt to get users to join in legal or illegal schemes or plan or participate in scams involving other users; (ix) impersonate any person or entity or falsely state or otherwise misrepresent your professional or other affiliation with any person or entity; (x) use the Services to collect personally identifying information about users of the Services; (xii) use the Services for anything other than your personal purposes, (xiii) use any robot, spider, other automatic device, or manual process to monitor or copy our Web pages or the content contained thereon or for any other unauthorized purpose without our written consent; xiii) deep link to the Site without our written consent; or (xiv) copy, reproduce, alter, modify, create derivative works from, or publicly display any Content (except for your own personal, non-commercial use) from our Site without our written consent.
2. You will receive a password upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify 2BalanceU of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session.
3. By submitting Content to 2BalanceU, you grant 2BalanceU and its affiliates a royalty-free, perpetual, irrevocable, non-exclusive right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the Content (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such Content. You also warrant that the holder of any rights, including moral rights in such Content, in your Content other than you has completely and effectively waived all such rights and validly and irrevocably granted to you the right to grant the license stated above. You also permit anyone to access, display, view, store and reproduce such Content for personal use.
4. Use of any personal information about you is governed by our Privacy Policy.
5. User Content does not reflect the views of 2BalanceU or its affiliates, and 2BalanceU and its affiliates do not assume responsibility or liability for any Content or for any claims, damages, or losses resulting from any use of the Site or the materials contained therein. We reserve the right to monitor and to investigate any complaints regarding any Content and to take the appropriate action if 2BalanceU finds any violation of this Agreement. In the case of any such complaint, 2BalanceU reserves the right to remove the Content complained of while the 2BalanceU member and the complaining party attempt to resolve their dispute, and to cancel any membership, at any time for any reason without prior notice.
6. You are solely and fully responsible for any Content that you post on any area of our site. You understand that 2BalanceU has no obligation to monitor the Services, or any other use by members of the Services. You acknowledge that 2BalanceU reserves the right to, and may from time to time, monitor any and all information transmitted or received through the Services, for operational and other purposes. During monitoring, information may be examined, recorded, copied, and used for authorized purposes. Use of the Services constitutes consent to such monitoring.
7. The Site may contain hyperlinks to Web sites operated by parties other than 2BalanceU. Such hyperlinks are provided for your reference only. 2BalanceU does not control such Web sites and is not responsible for their content. 2BalanceU's inclusion of hyperlinks to such Web sites does not imply any endorsement of the material on such Web sites or any association with their operators. Further, 2BalanceU is not responsible for the delivery or quality of any goods or services sold or advertised by our advertisers, sponsors, partners or any other thi arising out of or accruing from (a) any material posted or otherwise provided by you that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy, (b) any misrepresentation made by you in connection with your use of the Services; (c) any non-compliance by you with the terms and conditions of this Agreement; and (d) claims brought by persons or entities other than the parties to this Agreement arising from or related to your access and use of the Services, including the information obtained through the Services.
8. 2BalanceU makes no guarantee of availability of Services and reserve the right to change, withdraw, suspend, or discontinue any functionality or feature of the Services. IN NO EVENT WILL 2BALANCEU BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE 2BALANCEU.COM'S SERVICES OR ANY CONTENT THEREON FOR ANY REASON INCLUDING, WITHOUT LIMITATION, 2BALANCEU.COM'S REMOVAL OR DELETION OF ANY MATERIALS OR RECORDS SUBMITTED OR POSTED ON 2BALANCEU.COM'S SITE FOR ANY REASON. THIS DISCLAIMER APPLIES, WITHOUT LIMITATION, TO ANY DAMAGES OR INJURY, WHETHER FOR BREACH OF CONTRACT, TORT, OR OTHERWISE, CAUSED; ANY FAILURE OF PERFORMANCE; ERROR; OMISSION; INTERRUPTION; DELETION; DEFECT; DELAY IN OPERATION OR TRANSMISSION; COMPUTER VIRUS; FILE CORRUPTION; COMMUNICATION-LINE FAILURE; NETWORK OR SYSTEM OUTAGE; OR THEFT, DESTRUCTION, UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF ANY RECORD.
9. You agree to defend, indemnify and hold harmless 2BalanceU, their affiliates and their respective directors, officers, employees and agents from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys fees) arising out of or accruing from (a) any material posted or otherwise provided by you that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy, (b) any misrepresentation made by you in connection with your use of the Services; (c) any non-compliance by you with the terms and conditions of this Agreement; and (d) claims brought by persons or entities other than the parties to this Agreement arising from or related to your access and use of the Services, including the information obtained through the Services.
10. Use of the Services is void where prohibited. 2BalanceU does not permit children under the age of 18 to become members or use the Services. By using the Services, you represent and warrant that you are not under the age of 18 and that you have the right, authority, and capacity to enter into this Agreement and to abide by all the Terms and Conditions of this Agreement and that in using the Services you will not violate any applicable law or the rights of any third party.
11. NOTICE AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT OR INTELLECTUAL PROPERTY INFRINGEMENT. 2BalanceU respects the intellectual property of others, and we ask our users to do the same. 2BalanceU may, in appropriate circumstances and at its discretion, disable and/or terminate the accounts of users who may be repeat infringers. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide 2BalanceU's Copyright Agent the following information: 1.an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest; 2.a description of the copyrighted work or other intellectual property that you claim has been infringed; 3.a description of where the material that you claim is infringing is located on the site; 4.your address, telephone number, and email address; 5.a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; 6.a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.

12. This Agreement represents the entire agreement between you and 2BalanceU and shall be governed by the laws of the European Union, excepting its conflict of law provisions. Any dispute relating to this Agreement shall be subject to the exclusive jurisdiction of the Republic of Cyprus, and the parties agree to submit to the personal and exclusive jurisdiction and venue of these courts
